Terms of Service

1. Acceptance of Terms

By accessing or using the Services, you affirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you and that organization. The Services are intended for business use only.

2. The Services

Muzero provides a sales engagement platform that may include, among other things, lead prospecting and enrichment, multi-channel outreach (such as email, social, and voice), AI-assisted content and workflows, deliverability tooling, scheduling, and analytics. We may add, modify, or discontinue features at any time. Certain features may be subject to additional terms, usage limits, or our Fair Usage Policy, which is incorporated into these Terms.

3. Accounts and Registration

You agree to:

• Provide accurate and complete information during registration and keep it up to date.
• Maintain the confidentiality and security of your account credentials and notify us promptly of any unauthorized use.
• Accept responsibility for all activity that occurs under your account, including activity by team members you invite.

4. Acceptable Use and Compliance

You are solely responsible for how you use the Services and for the communications you send through them. You agree that you will not:

• Use the Services in violation of any applicable law or regulation, including without limitation laws governing commercial electronic communications, telemarketing, and data protection (such as CAN-SPAM, TCPA, GDPR, CASL, PECR, and their equivalents in any jurisdiction where your recipients are located).
• Send unsolicited communications where prohibited, fail to honor opt-out or unsubscribe requests, use false or misleading sender information or subject lines, or contact individuals or numbers on applicable do-not-contact or do-not-call registries.
• Record or monitor calls without obtaining all consents required by applicable law. You are solely responsible for determining whether and how consent must be obtained in the relevant jurisdictions.
• Use the Services to send content that is unlawful, deceptive, fraudulent, defamatory, harassing, or that infringes the rights of any third party.
• Engage in any activity that could harm, disrupt, or place unreasonable load on the Services, other users, or shared infrastructure such as deliverability and warmup systems.
• Attempt to probe, circumvent, or interfere with any security, rate-limiting, metering, or measurement systems of the platform.
• Resell, sublicense, scrape, or bulk-export data or functionality from the Services except as expressly permitted.

We may, but are not obligated to, monitor usage for abuse. We may throttle, suspend, or restrict usage that we reasonably believe violates this section or degrades the Services for others.

5. Your Data and Prospect Data

The Services allow you to import, generate, enrich, and store data about prospects, contacts, and companies ("Prospect Data"). As between you and Muzero:

• You are the controller of Prospect Data and are solely responsible for ensuring you have a lawful basis to collect, process, and contact the individuals it relates to.
• Prospect Data and any leads, contact details, or enrichment results provided through the Services are provided on an "as is" basis. We do not warrant their accuracy, completeness, deliverability, or fitness for any purpose.
• You are responsible for honoring deletion, objection, and similar requests from individuals in Prospect Data, and for your own compliance obligations as a controller.

6. Third-Party Services and Connected Accounts

The Services allow you to connect third-party accounts and services (such as mailboxes, calendars, social networks, and telephony). You acknowledge and agree that:

• You authorize us to access and act on those accounts on your behalf solely to provide the Services.
• Your use of any third-party service remains subject to that provider's own terms and policies, and you are solely responsible for complying with them.
• Third-party providers may impose limits on, restrict, suspend, or terminate your accounts or access at any time. We are not responsible or liable for any such action, or for any unavailability, errors, or data loss caused by third-party services.

7. AI Features

The Services include features powered by artificial intelligence, such as generated messaging, research, classification, and automated workflows ("AI Features"). AI output is generated automatically and may be inaccurate, incomplete, or inappropriate for your use case. You are responsible for reviewing AI output before relying on it or sending it to any third party, and for all communications sent from your account, whether drafted by you or by AI Features. AI output is provided without warranty of any kind and does not constitute professional advice.

8. Fees, Subscriptions, and Credits

• Paid plans are billed in advance on a recurring basis and renew automatically until cancelled. Cancellation takes effect at the end of the current billing period; fees already paid are non-refundable except where required by law.
• Certain features are metered using credits or similar units. Credits have no cash value, are non-transferable and non-refundable, and may expire as described at purchase or in your plan.
• We may change our pricing or plan structure with notice; changes apply from your next renewal.
• You are responsible for applicable taxes, other than taxes on our income.

9. Intellectual Property Rights

All content, features, and functionality of the Services—including text, graphics, logos, and software—are the exclusive property of Muzero or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal business purposes during your subscription. Unauthorized use, reproduction, reverse engineering, or distribution is prohibited. Any feedback you provide may be used by us without restriction or obligation.

10. Your Content

You retain ownership of content and data you submit to the Services. You grant Muzero a non-exclusive, worldwide, royalty-free license to host, use, reproduce, modify, and display such content solely as necessary to provide, maintain, secure, and improve the Services. You represent and warrant that you have all rights necessary to grant this license and that your content does not violate any law or the rights of any third party.

11. Privacy

Our collection and use of personal information are described in our Privacy Policy. By using the Services, you acknowledge the practices described there.

12. Suspension and Termination

We may suspend or terminate your access to the Services at our sole discretion, with or without notice, for conduct that we believe violates these Terms, creates risk or legal exposure for us or other users, or harms the integrity of the Services. You may stop using the Services and cancel your account at any time. Upon termination, your right to use the Services ends and we may delete your account data after a reasonable period, except as retention is required by law. Sections that by their nature should survive termination (including Sections 5, 7, 9, 10, and 13–16) will survive.

13. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by law, Muzero disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure; that leads, contact data, or AI output will be accurate; or that any particular deliverability, response, or business outcome will be achieved.

14. Limitation of Liability

To the fullest extent permitted by law, in no event shall Muzero, its affiliates, or its suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, use, or goodwill, arising out of or related to your use of or inability to use the Services, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the amounts you paid to us for the Services in the twelve (12) months preceding the event giving rise to the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless Muzero and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) content or communications you send through the Services; (c) Prospect Data and your processing of it; (d) your violation of these Terms or of any applicable law; or (e) your violation of any third-party right or third-party provider's terms.

16. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Muzero operates, without regard to its conflict of law principles. Any dispute arising out of these Terms or the Services shall be resolved in the courts of that jurisdiction, and each party waives any objection to venue there. You agree that any claim must be brought within one (1) year after it arises, and only in your individual capacity.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
